This agreement is a revised version of Lazada's "Seller Terms of Service". From the date of publication of this version, "Seller Terms of Service" everywhere on the Lazada platform refers to these terms.

1.1 Welcome to the Lazada platform (hereinafter referred to as "the platform"). 1.3 Lazada platform refers to the website and mobile shopping application provided and operated by Lazada, including but not limited to Lazada shopping websites and mobile shopping clients around the world.




1.4 If you use this service or open an account or store on this platform, it means that you irrevocably accept and agree to these terms of service, including the additional terms and policies mentioned in this service term and/or provided by the link of this service term. At the same time, you should also abide by the terms of service rules of the site platform where the store you opened in each country/region, accepting and agreeing to the terms of service does not exempt you from the obligation to read and abide by the service terms of the site platform where the store is opened. 2 Privacy

5 Accounts and Security

5.5 Your Lazada account is closed due to serious violations, and you are not allowed to re-register the account; if it is found that the account has been re-registered, Lazada has the right to immediately stop the service and close the seller's account.




5.6 You have the right to terminate the terms of service between Lazada and you at any time according to the method agreed by both parties. If users want to terminate their account and shop, they can notify Lazada in writing (email please send to: service@Lazada-sgp.vip or contact your account manager). Even if the account and store are terminated, you remain responsible for any outstanding transactions (whether initiated before or after termination), product shipments, product payments, etc. And after effectively fulfilling and completing all outstanding transactions, notify Lazada. Lazada shall not be liable for any damages arising from actions taken in accordance with these Terms. You waive any and all claims against any such actions taken by Lazada.




5.7 You may only use the Service and/or open an account/or open a store in the permitted countries that we update from time to time.






6 Your commitment and guarantee




6.1 You guarantee that you have full rights and/or authority to sell the products published on the Lazada platform, and the products published and sold on the Lazada platform, whether manufactured, assembled, produced or otherwise provided by you, are:

(4) Comply with current laws and regulations, do not violate any current laws and regulations in China and the region where the store is located, meet the requirements for personal and property safety and environmental protection, meet the quality standards stipulated by relevant departments, and do not infringe the rights of any third party (including intellectual property rights);




(5) There is no third party's claim of infringement of any product, or any claim, demand or legal action regarding the manufacture, sale, distribution or use of the product. And Lazada will not receive any third-party allegations of infringement because you sell products on the Lazada platform.



(6) When the turnover reaches 5,000-10,000 US dollars, it is agreed that the platform will collect 50% or the same proportion of deposits to guarantee the high-quality service certificate of the store. This regulation applies to the store’s violations and guarantees that the maximum payment will not exceed 50% of the turnover. The platform has no The right to use the store deposit.


6.2 Commitment and Warranty:




(1) You agree and guarantee that: Lazada will not advertise, market or promote your products through any means (whether on the Lazada platform or other media) or use your provided information to advertise, market or promote your products. , directly or indirectly infringe the rights (including intellectual property rights) of any third party;




(2) You promise and guarantee that the information you provide can be used by Lazada when advertising, marketing or promoting your products (whether on the Lazada platform or other media), and does not contain any defamation or other violations of any China and the region where the store is located. The content of current laws and regulations, and completeness, accuracy and reliability. You promise that if there is any error or update in the materials you provide, you should immediately notify Lazada and correct the error or update. You shall be solely responsible for any content you publish or provide in any other way using the Lazada platform and services, including but not limited to the correctness, reliability, appropriate authorization and non-infringement of any content provided, and legal and statutory Compliance with Restrictions;




(3) You undertake and warrant that you own or are authorized to own all rights in respect of the goods sold, and have obtained any formal consent, exemption, approval, authorization, registration, license or statement necessary to ensure that Lazada has the right to advertise, market or promote the seller's goods , and hereby authorizes Lazada to use the above rights for the purpose of advertising, marketing or promoting the seller’s products (whether on the Lazada platform or other media) within the scope of these terms of service. (4) You promise that you will only collect, disclose, use and process buyer data within the scope of the purpose stipulated in these Terms of Service. You may not transfer any buyer information without the prior written consent of Lazada and the buyer; if you obtain the prior written consent of Lazada, you shall follow the current effective laws and regulations, relevant Lazada policies and reasonable instructions of Lazada, and by Seller shall, at its own expense, take appropriate safeguards for such Buyer Data. You are responsible for the collection, disclosure, use, processing or loss of buyer data by its subcontractors or service providers. You undertake to indemnify Lazada for any losses, including loss of goodwill, caused by your breach of this obligation or due to intentional or negligent performance of your obligations. You shall bear the costs or expenses incurred by you or your subcontractors and service providers for complying with the obligations of this Article;




(5) You promise that you have full rights and legal authority to sign the terms of service and the actual sales contract with the buyer, and the content of the terms is binding and enforceable on you; you have registered as a market entity and fulfilled your tax obligations in accordance with the law , for those who need to obtain relevant administrative licenses and relevant qualifications according to law, you have obtained administrative licenses and relevant qualifications according to law;




(6) You promise that the data you provide to Lazada or to buyers through the Lazada platform is accurate, valid and up-to-date; you promise that you will protect consumers' right to know and fulfill the obligation of information disclosure. You should describe the products truthfully, including but not limited to giving buyers a true and complete description of the products and services provided in all channels provided by Lazada, including but not limited to product description pages, store pages, and in-site message systems. It is limited to the methods and prices of logistics, after-sales, insurance and other services, and the basic attributes, functions, packaging, quality, defects, prices, etc. of the goods, and should not make false or misleading statements.




(7) You promise that the qualifications you provide to Lazada, copies of authorization documents, etc. are true, legal, and valid, and that your contact information (such as email and telephone) provided to Lazada is valid and unobstructed. Lazada can pass The above contact information establishes contact with you. And if the relevant qualification materials and information change, you should provide the latest information to Lazada in a timely manner; if you provide false, invalid documents or provide documents not in time, resulting in disputes or being punished by the relevant national authorities, you should bear the resulting If you cause losses to Lazada (including its partners, agents, employees, etc.), you agree to compensate for all losses, and Lazada has the right to stop paying your payment until the agreement is terminated, resulting in economic losses to Lazada Yes, Lazada has the right to directly deduct the corresponding amount from your account;




(8) You promise to sign and perform all the relevant acts of the terms of service and the actual sales contract with the buyer will not violate any applicable laws, regulations, rules, orders, judgments, and injunctions of the location where the account is located or where the store is opened, or other court or administrative authority requests.




(9) You promise to use this platform and sellers to consciously abide by the laws, administrative regulations and relevant national regulations on the import and export and foreign exchange supervision and management of each site involved in the cross-border e-commerce business activities; .


(10) You promise that if there is a violation in the store, you agree to the platform to pay the deposit, and the withdrawal balance reaches 5,000 US dollars or more, agree to pay the local tax requirements, abide by laws and regulations, and promise not to engage in price fraud.


6.3 The user license for this service is valid until the contract is terminated. Such license will terminate upon the occurrence of any of the causes of termination set forth in these Terms of Service or your failure to comply with any term or condition of these Terms of Service. Under these circumstances, Lazada may unilaterally terminate the authorization, and you shall be liable for compensation if actual losses are caused to Lazada.




You agree not to:




(1) Upload, post, transmit or in any other way make available any unlawful, harmful, threatening, abusive, harassing, alarmist, distressing, distorted, defamatory, vulgar, obscene, slanderous, invasive of another's privacy, hateful, racial, ethnic discriminatory or otherwise objectionable content;




(2) Violate any laws and regulations, including but not limited to regulations related to import and export restrictions or violate our "Prohibited and Restricted Products" policy and other related policies;




(3) Upload, publish, transmit or provide any content about minors in any other way, or use this service to harm minors in any way;




(4) Use the Service to impersonate any third party, or misrepresent your relationship with any third party;




(5) Forge headers or otherwise manipulate identifiers to obscure the origin of any Content transmitted through the Services;




(6) delete any proprietary rights statement from this platform;




(7) Cause, permit or authorize modification, creation of derivative works or translation of this service without the express permission of Lazada;

(13) Do anything that will disrupt the feedback or ranking system;




(14) Attempt to decompile, reverse engineer, disassemble or hack the Service (or any part thereof), or attempt to decipher Lazada's use of data transmitted, processed or stored by the Service and/or Lazada any encryption techniques or security measures;




(15) Capture or collect and/or use any information about all persons obtained through the use of the Service, including but not limited to any personal data or information;




(16) Upload, email, publish, transmit or otherwise make available any inside information and proprietary and confidential data that you learn or disclose under any legal or contractual or fiduciary relationship (such as employment and confidentiality agreements) ) Content that is not authorized to be provided;

(19) Upload, email, post, transmit or otherwise make available any computer virus containing any computer virus intended to directly or indirectly interfere with, manipulate, interrupt, destroy or limit the function or integrity of any computer software, hardware, data or communication equipment , worms, Trojan horses or any other computer code, routines, files or programs;




(20) disrupt the normal flow of conversations, cause the screen to scroll faster than other service users can type, or otherwise affect other users' real-time communication;




(21) Interfering with, manipulating or destroying the Service or servers or networks connected to the Service or any other user's use of the Service, or disobeying any regulations, procedures, policies or regulations where the Platform's online network is located;




(22) Take or participate in any action or behavior that may directly or indirectly cause damage, paralysis, overload or performance reduction of the Service or servers or networks connected to the Service;




(23) Use the Service to intentionally or unintentionally violate any applicable local, state, provincial, national or international law, rule, code, directive, guideline, policy or regulation, including but not limited to any Relevant laws and regulations (whether or not they have the force of law);




(24) Use this service to violate the privacy of others, stalk or harass others in other ways;




(25) Violating the rights of Lazada, including violating any intellectual property rights and related counterfeiting;

(27) Publishing/selling infringes the copyright of a third party, or uses the service in a way that infringes the intellectual property rights of others.



(28) Delivery over 48 hours, false delivery, order arbitrage, infringement of trademarks or other intellectual property rights.



(29) After closing the store, refuse to deliver goods, and everything is based on the buyer's needs.



(30) The store violates the regulations, does not accept platform punishment, will not evade punishment, and agrees to close the store for serious faults.



6.4 You understand that the content publisher is responsible for all content, whether it is published publicly or transmitted privately. This means that you (and not Lazada) are solely responsible for all content that you upload, post, email, transmit or otherwise make available through the Platform. You understand that when using this platform, you may be exposed to offensive, indecent or objectionable content. To the maximum extent permitted by applicable law, Lazada shall not under any circumstances be liable for any content, including but not limited to any errors or omissions in any content, or for reliance on your postings on this platform, via email any loss or damages arising out of any content sent, transmitted or otherwise made available.




6.5 You understand that Lazada and its trustees have the right (but not the obligation) to pre-screen, reject, delete, remove or move any content provided through this platform (including but not limited to your through content or information provided by this platform), such as Lazada and its trustees have the right to remove any (i) content that violates the terms of service; (ii) content that has been complained by other users; (iii) we have received infringement from you Intellectual property notices or other legal instructions requiring removal; or (iv) content that may cause objection to others. 6.8 If the brand you operate is under the following circumstances when operating on the platform, Lazada will have the right to remove the brand’s products in accordance with these terms of service, and you must not continue to operate:




(1) Branded products that are certified by Lazada or a third-party professional organization to be produced by a manufacturer that does not have production qualifications do not meet national, local, industry, or enterprise mandatory standards;




(2) The brand has been judged by Lazada or a third-party professional organization to constitute counterfeiting of other people's trademarks, product names, packaging and decoration, business names, product quality marks, etc., or is likely to cause confusion and misidentification by consumers;




(3) During the operation of Lazada, the brand has been proved to have high dispute rate, high complaint rate, and low market recognition. The average score of the brand product description is seriously lower than the industry average, which seriously affects the consumer experience. 6.9 If you violate the relevant guarantee agreement in this chapter or fail to perform the actual sales contract between you and the buyer, Lazada has the right to notify the relevant buyer of the relevant facts. You agree to guarantee and defend Lazada and its shareholders, subsidiaries, affiliates, directors, managers, agents, joint vendors or other partners and employees (hereinafter collectively referred to as "guaranteed parties") and to indemnify them from liability Any claim, action, proceeding and litigation, and all related liabilities, damages, liquidated damages, fines, costs and expenses (including but not limited to other dispute resolution fees) arising from or related to the following events attributable to you: ( 1) Any transaction conducted on this platform, or any dispute related to such transaction (unless Lazada or its affiliated companies are parties to the transaction related to the dispute) (2) You violate or violate any terms of these Terms of Service, or any policies or guidelines mentioned in these terms of service; (3) your use or abuse of this service; or (4) your violation of the law or infringement of the rights of any third party.






7 Violations of our Terms of Service

8 Reporting of Intellectual Property Infringement




8.1 As an independent individual or enterprise, the user has no connection with Lazada. Lazada is not the agent or authorized representative of the user, nor does it hold or own the ownership of any products published on the platform.




8.2 You agree to take full responsibility for not notifying or updating its intellectual property certification documents in a timely manner. 9 Lazada Performance Guarantee




9.1 Lazada performance guarantee is a shopping protection service provided by Lazada or its authorized agents to buyers (some Lazada platforms are applicable, and the applicable regions and rules are detailed in the platform announcements of each site). In order to provide protection against liability risks, the shopping payments paid to you by using this service will be kept by Lazada or its authorized agents (hereinafter referred to as "Lazada Performance Guarantee Account"), and Lazada will not use these payments for Company operating expenses or any other company purpose. 20 Fraudulent or suspicious activity




20.1 If Lazada believes that you may participate in any potentially fraudulent or suspicious activities and/or transactions based on user reports or careful consideration, we may take various measures to protect Lazada, users, third parties or protect you from cancellations and refunds , claims, expenses, fines and other liabilities. Actions we may take include but are not limited to the following:




1) We may close, suspend or limit access to your account, and/or suspend processing of any transactions;




2) We may suspend your Lazada performance bond eligibility;




3) We may freeze the funds in your account according to the effective judgments, rulings or order requirements applicable to you or your account (including instructions and judgments issued to Lazada by the court where the account is located and the store is located). use or transfer;




4) We may temporarily or permanently refuse to provide services to you;




5) In case you may be liable to Lazada or Lazada users or third parties, or we think you may engage in potentially fraudulent or suspicious activities and/or transactions, we may freeze your account and funds within a reasonable period .




20.2 For the above clauses in this section (i.e. Clause 20):




1) A "chargeback" is a request made by a buyer directly to their debit or credit card company or bank that issued the debit or credit card to void the payment.




2) "Claim" means challenging a payment submitted directly to Lazada by a buyer or seller.




3) "Reversal" means that Lazada's payment request was revoked because (a) the sender's bank is invalid (b) Lazada sent it to you by mistake (c) the sender of the payment is not authorized to send the payment request (eg: send party using a stolen credit card) (d) you receive payment for activity that violates the Lazada Terms of Service or any other Lazada policy (e) Lazada decides to file a claim against you.






21 Compensation for damages

22 Severability

23 Governing law

23.2 The agreement on legal jurisdiction in this paragraph does not apply to transaction disputes between buyers and sellers, and disputes between buyers and sellers still apply to the dispute agreement in Article 14 of these terms of service.






24 General provisions




24.1 Lazada reserves all rights not expressly granted in this agreement.




24.2 Lazada reserves the right to change, modify, suspend or discontinue the platform or services in whole or in part at any time in response to the requirements of laws and regulations or the principle of good faith. Lazada may release certain services or functions as trial runs, which may not work correctly or as final releases. Lazada may also set restrictions on certain functions in response to regulatory requirements or in compliance with the principle of good faith, or restrict your use of some or all of the platform or services.




24.3 Lazada reserves the right to refuse to provide you with permission to use the platform or services or to allow you to open an account for any reason.

24.8 Except for the affiliates of Lazada (including the successors and assigns of Lazada and its affiliates and subsidiaries), these Terms of Service are only for the benefit of you and us, not for any other individual or legal entity entered into for the benefit of.




24.9 The terms contained in these terms of service, as well as any agreements and policies contained or referenced in these terms of service, constitute the entire agreement and consensus between the two parties on this service and this platform, unless otherwise expressly agreed in writing by both parties, will Supersede any previous agreement and consensus between the two parties on the same matter. 24.11 You shall strictly abide by laws and regulations on the prohibition of commercial bribery, and resolutely reject commercial bribery, bribery and other improper commercial gifts.




24.12 Commercial bribery referred to in this agreement refers to all spiritual and material direct or indirect gifts that you or your staff give to Lazada employees in order to obtain the cooperation and benefits of cooperation with Lazada, such as cash, kickbacks, entertainment, travel, etc.




24.13 No employee or department of Lazada shall ask or accept money, items or gifts of any kind from you. If you find that Lazada employees have the above behaviors, you should report to Lazada in time.




24.14 You shall not, in the name of the seller or any individual, directly or indirectly give gifts, items, securities, shares, or provide illegitimate benefits to any Lazada employees, their relatives, and related parties in private, or take other disguised means to provide illegitimate benefits, otherwise it will be regarded as an infringement on GOSHOP Acts of interest to the Shop. Improper advantages include, but are not limited to, cash, checks, credit gift cards, samples, or other merchandise, entertainment tickets, loyalty cards, kickbacks in the form of currency or goods, kickbacks, employment or home purchases, seller-paid travel, meals, and personal services wait.




24.15 If Lazada employees ask you to give them any form of improper benefits, you should complain in time and provide relevant evidence to Lazada. It will be dealt with after verification by the relevant personnel of Lazada, and it will be kept confidential for you. 24.16 If you bribe any employee of Lazada in order to obtain any improper business interests or more special business treatment, or if you do not cooperate with Lazada to investigate and deal with the bribery of its employees, Lazada will permanently stop all cooperation with you and take legal action against you. You take measures such as suspending the payment of all accounts payable, and at the same time you should pay Lazada RMB 50,000 as liquidated damages. If the circumstances are serious and cause major economic losses, Lazada will hand over the case to the local judicial authority in accordance with the law.

24.18 If there is any doubt about the contents of these Terms of Service, Lazada reserves the right of final interpretation.




24.19 Lazada and users can use electronic documents as a representation method, and the electronic documents exchanged in accordance with these terms of service, if the content can be fully presented and can be taken out for inspection in the future, its effect is the same as that of physical written documents. However, this does not apply to cases where the application is excluded by law or an announcement by an administrative agency. The written means referred to in these terms of service include both written and electronic means, unless otherwise specifically agreed upon.




24.20 In order to protect user data security and provide a safe trading platform, Lazada cooperates with financial institutions that have passed the international PCI DSS information security certification to process payment operations, and continues to conduct independent management of internal information security protection. If any third party breaks the Lazada information system protection measures or exploits information system vulnerabilities, Lazada will not bear the burden of proof for this fact.




24.21 Users should notify Lazada immediately after learning that their account passwords have been fraudulently used. When Lazada learns that the user's account password has been fraudulently used, it will immediately notify the user and suspend the payment behavior indicated by the account, and suspend the acceptance of subsequent payment instructions for the account. Lazada shall bear the losses incurred after the user goes through the formalities of notifying the account and password of being fraudulently used; all losses incurred by the user before the user goes through the procedures of fraudulently using the account and password shall be borne by the user himself, except for the following circumstances:




1) The user has not properly kept the user ID and/or password;




2) The user provides the user ID and/or password to others;




3) The user does not use the account security mechanism provided by Lazada; or




4) Other reasons caused by the user's intentional or gross negligence.




Lazada will bear the expenses incurred in investigating the fraudulent use of user account passwords.




24.22 If you and the buyer have any consumer disputes other than returns and refunds on the Lazada platform, you can ask Lazada for assistance through the customer service mailbox or phone number in Article 24.24 below, and provide orders, After completing the investigation, Lazada will decide to suspend the transaction or take other necessary measures to assist users in resolving disputes according to the principle of good faith.




24.23 The commercial secrets mentioned in this article include but are not limited to this agreement, any supplementary agreement, and other secret information involved in the cooperation process. Neither party shall disclose, disseminate, edit or display the information to any third party without the consent of the trade secret provider. The disclosing party shall not be liable if the trade secret is disclosed due to the written consent of the other party or the administrative or judicial enforcement action of the state; if the trade secret is known to the public, the disclosing party shall not be liable.
